These Terms of Service ("Terms") govern your access to and use of Sagan Orbit ("the Service"), operated by Sagan Labs AI ("we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

Sagan Orbit is a cloud-based project management platform featuring a fixed 5-column Kanban workflow (Backlog, To Do, In Progress, Test, Complete). The Service allows teams to organize projects, manage tasks, collaborate in real-time, and track work progress.

3. User Accounts and Responsibilities

Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

User Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use the Service to send spam or unsolicited messages
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated systems or software to extract data from the Service

4. Payment Terms

Free Plan

The Free plan provides limited access to the Service at no cost. Limitations include restricted number of projects, tasks, and team members.

Pro Plan

The Pro plan is available at $5 per user per month. Payment is billed monthly in advance. By subscribing to the Pro plan, you authorize us to charge your payment method on a recurring basis.

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. We do not provide refunds for partial months of service. Upon cancellation, your account will revert to the Free plan.

5. Intellectual Property

Our Property

The Service, including its original content, features, functionality, design, and branding, is and will remain the exclusive property of Sagan Labs AI. The Service is protected by copyright, trademark, and other laws.

Your Content

You retain all rights to content you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to store, display, and transmit Your Content solely as necessary to provide the Service. We do not claim ownership of Your Content.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAGAN LABS AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in Miami, Florida, USA in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

Class Action Waiver

YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. You may only bring claims against us in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Exceptions

You may bring claims in small claims court if your claims qualify. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If we make material changes, we will provide notice through the Service or by sending you an email. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Subject to the arbitration provisions above, any legal action or proceeding shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
